Companies Act coming on July 3rd

The Ministry of Trade and Industry informs the public that the new Companies Act comes into force on the 3rd July 2007. A statement from the Ministry says workshops to sensitise stakeholders will be conducted in different parts of the country in the following places.

The statement further says the new Act introduces, amongst other things, simplified procedure for company incorporation, provision for one-person Companies, abolishes the need to register a Memorandum and Articles of Association and replaces it with the company's constitution, abolishes the need to lodge a constitution when applying for registration except where the constitution is required by another Act. The new Companies Act also provides for a close Company.
Copies of the new Companies Act and its Regulations will be available for sale at the Government Printer bookshops at Gaborone, Serowe, Francistown and Maun, says the statement.
