Security body fails to form quorum

The AGM was planned to take place in Palapye where only 18 members of the association turned up, a shortfall of  53.

Says Article 7.3.9 of SAB’s constitution: “The quorum at all general meetings shall be not less than one third of the full and associate members attending by representative or by proxy, and who are present 30 minutes after the time notified for the meeting or within such other time as may be agreed by all members then present.”

Article 7.3.10 states that if within 30 minutes from the time appointed for holding of the General Meeting a quorum is not present, the meeting - if convened on a requirement of members - shall be dissolved.

In all other cases, the meeting shall be adjourned to the same day the following week at the same time and place or at such other place as the chairperson of the general meeting shall appoint, provided that that day is a public holiday.

Before calling off the meeting, the Chairman of the association, Gaolathe Mudongo, said some members had called him on Friday morning complaining about the meeting because it would clash with the site visit for a certain tender. 

“I am so disappointed that most of the members chose not to come for the meeting that was planeed some time last year”, said Mudongo.

Commenting after the postponement of the AGM, the Deputy Permanent Secretary in the Ministry of Defence, Justice and Security, Augustine Makgonatsothe, also said he was “very disappointed” that people had been invited from all over Botswana to what had proved to be a none event.

“You made people leave their commitments and travel as far as Palapye from Gaborone only for a meeting that was going to be postponed,” said Makgonatsothe.

 He warned that people may have second thoughts about honouring SAB invitations in the future.
