In the matter between:
MEDIA DEVELOPMENT INVESTMENT FUND, INC. PETITIONER and TSODILO PRINTERS (PTY) LIMITED RESPONDENT
ORDER
BEFORE the Honourable Justice Reuben N. M. Lekorwe at LOBATSE on this 13th day of June 2025.
UPON HEARING: Attorney Mr Batisani T. for the Petitioner and no appearance for the Respondent and having read documents filed of record;
IT IS ORDERED THAT:
1. The matter proceeds as one of urgency.
2. The Rules of Court regarding service and time limits are accordingly dispensed with.
3. A rule nisi calling upon all interested parties to appear and show cause on the 3rd day of November 2025, why an order in the following terms should not be made final:
3.1. That Tsodilo Printers (Pty) Ltd, the Respondent in the petition, is hereby placed under provisional liquidation in the hands of the Master of this Court in terms of Section 368 (a) as read with 369 (b) and (f) of the Companies Act.
3.2. The Master is directed to appoint Kopanang Thekiso as the Provisional Liquidator of the Respondent in terms of Section 381 (2) (b) of the Companies Act and subject to the provisions of Section 445 of the Companies Act;
3.3. The Provisional Liquidator is hereby authorised, in terms of Section 384 (4) (e) of the Companies Act, to carry on or discontinue the business of the Respondent, as the Provisional Liquidator deems fit;
3.4. The Provisional Liquidator be and is hereby authorised to take such measures in terms of Section 384 (1), 384 (2) and 384 (4) (a) through to (i) of the Companies Act, which in his view are necessary for the protection and better administration of the affairs and property of the Respondent pending the convening of the concursus creditorium at the First Creditors Meeting; and
3.5. Any action or proceedings that is pending in any court of law in Botswana or about to be instituted against the Respondent shall be stayed in terms of Section 372(a) and (b) of the Companies Act;
3.6. Paragraphs 3.1 to 3.5 of the order are to operate with immediate effect.
3.7. The costs of the Petition shall be costs in the winding-up of the Respondent
3.8. A copy of this order be published forthwith in the Government Gazette and in any newspaper circulating throughout Botswana.
